STEPHEN P. HOLMES

Stephen P. Holmes is Vice Chairman of Cendant Corporation and Chairman and CEO of the Hospitality Division. As such, he oversees the Company’s hotel, timeshare and travel agency businesses that include Days Inn, Ramada, Super 8, Wingate, Travelodge, Villager Inn, Knights Inn, Howard Johnson, AmeriHost Inn, RCI, Fairfield Communities and Trendwest Resorts.

Prior to this operating role that he assumed in 1997, Mr. Holmes served as Executive Vice President and Chief Financial Officer for the former HFS Incorporated, overseeing its financial and administrative functions.

Mr. Holmes has been with HFS since it’s founding in 1990. Previously he was managing director of The Blackstone Group, the former parent company of HFS, where he handled the analysis and negotiations of acquisitions for the Blackstone Group’s partnership. Prior to joining Blackstone, Mr. Holmes served as Senior Vice President and CFO for Reliance Capital Group, where he directed the acquisition and financial teams for the investment partnership.

Mr. Holmes is a member of the Board of Directors of Cendant Corporation and sits on the Executive Committee. In addition, Mr. Holmes is on the Board of Avis Europe PLC. He also serves as a Director of the Boys and Girls Club of Morris County, Director of Chilton Memorial Hospital and is a member of the Executive Committee of the Travel Business Roundtable. Mr. Holmes has also been involved with various youth-oriented organizations including the Inner City Games of New York.

Mr. Holmes received a Bachelor of Science Degree in Business Administration from Bucknell University and is a member of the American Institute of Certified Public Accountants. He resides in Pompton Plains, New Jersey with his wife and three children.
